Broadcasting
The firm represents a range of broadcasting companies on transactional, regulatory, and other business matters. Our clients include group owners, commercial and non-commercial licensees of individual television and radio stations in markets of all sizes across the country, applicants for new stations, financial institutions, venture capital companies, and programmers including a major television network.

The firm advises clients on all aspects of station acquisitions and sales, including:

Negotiating transaction terms
Financing arrangements
Preparing transaction agreements
Structuring transactions
Complying with FCC ownership restrictions

The firm also serves as special communications counsel, assisting other outside legal counsel and in-house attorneys on such transactions. In addition, we conduct due diligence reviews of broadcasters regulatory compliance in connection with sales, loans, and refinancings, and issues opinion letters to lenders and buyers.

The firm routinely prepares and prosecutes FCC license applications, including assignments and transfers, renewals, and facilities modifications, including advice to broadcasters on the possibility of obtaining upgraded facilities under the FCC rules and policies. We represent clients in contested and uncontested proceedings before the FCC, including rulemaking proceedings, license renewal and revocation hearings, and auctions for new station construction permits. Our firm also advises clients on copyright matters related to Internet transmissions, and we have counseled major record labels regarding the FCC payola and sponsorship identification rules.
